Eventbrite has entered into a definitive agreement to be acquired by Bending Spoons in an all-cash transaction valued at approximately $500 million.

Under the terms of the agreement, stockholders will receive $4.50 per share, which represents an 82 percent premium over the 60-day volume-weighted average share price.

The transaction has been unanimously approved by the Eventbrite Board of Directors and is expected to close in the first half of 2026, subject to customary closing conditions and regulatory approvals.

Bending Spoons intends to invest in the long-term growth of the platform by introducing new features and technology.

Plans include building a dedicated messaging tool and integrating AI to make event creation easier for organizers.

The company also aims to improve search capabilities and develop a system for the secondary ticket market.

Upon closing, Eventbrite will become a privately held company and join the Bending Spoons portfolio, which includes brands like Vimeo and Meetup.
