Sanofi announced that it has agreed to acquire Dynavax Technologies in an all-cash transaction valued at approximately $2.2 billion.
Dynavax stockholders will receive $15.50 per share, a 39% premium to Dynavax’s December 23 closing price.
The acquisition will add Dynavax’s marketed adult hepatitis B vaccine, HEPLISAV-B, and a phase 1/2 shingles vaccine candidate, Z-1018, to Sanofi’s vaccines portfolio.
HEPLISAV-B is approved in the U.S., EU, and U.K. and is administered as a two-dose regimen over one month.
Sanofi said the transaction has been unanimously approved by Dynavax’s board.
The company plans to fund the purchase with cash on hand.
Closing is expected in the first quarter of 2026, subject to customary conditions, including regulatory clearances and the tender of a majority of Dynavax shares.
