USA Compression Partners has entered into a definitive agreement to acquire J-W Power Company, a large privately held provider of compression services, for a total consideration of approximately $860 million.
The transaction consists of $430 million in cash and the issuance of roughly 18.3 million new USAC common units.
Scheduled to close in the first quarter of 2026, the deal is expected to create a combined fleet of approximately 4.4 million active horsepower and accelerate the company’s path to deleveraging.
This acquisition enhances the company geographic diversification by adding over 0.8 million active horsepower in regions such as the Northeast, Rockies, and Permian Basin.
It also adds new business lines, including aftermarket services, parts distribution, and manufacturing capabilities.
CEO Clint Green stated that the move represents a milestone step that will broaden customer relationships and strengthen USAC’s position as a leading provider of natural gas compression services.
